GENERAL TERMS OF SALE FOR DEALERS
Sales are subject to the following terms of sales, which shall be deemed to have been accepted by placing an order with us. Purchases made from Parkell Europe AB constitute agreement by the buyer to all terms, conditions, procedures, policies, and remedies stated in this Price List.
Prices & Products
All prices are in Euro and are subject to change without notice. Because our products are continually improved and updated, we reserve the right to make changes in product design without prior notice or the obligation to accept previous models for alteration, exchange or credit. Orders will be filled with the latest available model of any given product.
Terms of payment
Payment in advance unless otherwise agreed upon. If open account billing is established, payment is due by the 30th day after the invoice date. Overdue accounts may be subject to interest at 1½% per month.
Terms of delivery
The prices in this list are quoted Ex Works, Upplands Väsby, Sweden (INCOTERMS), exclusive insurance and packing. Packing is charged at cost price and packing materials are non-returnable. Freight costs are charged at cost prevailing at the time of shipment. Shipments are made for the account of and sole risk of the buyer, unless otherwise agreed.
Minimum order
Minimum order value is EUR 500. For orders amounting to less than EUR 500 a service charge of EUR 50 is applied.
Reservation of title
All goods supplied by Parkell Europe AB shall remain our property until paid in full to the extent permitted by the laws of the country where the goods are situated. The ownership includes the right to the goods as delivered or coveted and the right to the assets or the money which may have been acquired from disposing off the goods or products made thereof. Money so received must be kept on a separate account.
Export markets
All goods supplied by Parkell Europe AB shall be sold within the European market unless otherwise agreed.
Time of delivery
To be agreed upon. Delays in delivery owing to force majeure or any other circumstances beyond our control, such as interruptions in manufacturing or supplies from our sub-suppliers etc., entitle us to withdraw from the contract or to fulfil the same at a later date.
Partial deliveries
Partial deliveries are to be accepted, unless otherwise agreed, and are to be paid in accordance with invoicing. Please note that backorders will usually be forwarded together with the next order.
Return goods
Return of goods is accepted only upon written authorization by Parkell Europe AB and shall be accompanied by a motivation in writing. A return charge of 15% of the value of the goods is applied and deducted in the credit note issued for the return.
The fact that an item is returned does not obligate Parkell Europe AB to accept the item back for credit. Parkell Europe AB inspects each returned item and reserves the right to refuse any return following inspection. Reasons for refusal include, for example, signs of use or misuse of the item. Moreover, Parkell Europe AB reserves the right to refuse any return or exchange when, in our judgment, it is unwarranted.
Merchandise which is not returnable for exchange or credit includes, but is not limited to: batteries, spare parts, consumable goods (diamond burs, ultrasonic scaler inserts, electrodes, etc.), discontinued, and used goods.
Returned items which are refused by Parkell Europe AB will not be returned to the Dealer unless specifically requested by the dealer with shipping fees being paid by the Dealer.
Short shipments and damaged goods
Short shipments or damages must be reported by mail or e-mail to Parkell Europe AB and to the carrier within 5-days of receipt of goods. NO PAYMENT DEDUCTIONS (DEBIT MEMOS) ARE ALLOWED without Parkell Europe AB’s credit memo authorization. Failure to pay according to our credit terms will prevent any further shipments.
Warranty
Products claimed to be defective and found by us, on inspection, to be defective due to a manufacturing defect or other fault of ours will be repaired or replaced at our option for a period of twelve (12) months from the date of purchase by a customer from Parkell’s authorized dealer. Repairs or parts replacements made during a warranty period do not extend the warranty beyond the original expiration date. Unauthorized alterations, misuse, abuse or failure to follow operating instructions supplied with any given product automatically voids all warranties extended at time of sale.
The 2-Year power unit warranty for Parkell pulp vitality testers covers the units themselves. Probes, probe tips, ground wires, and ground lip clips. Batteries for Parkell pulp testers are not covered under the warranty.The 2-Year power unit warranty for Parkell’s Sensimatic® covers the unit itself and foot pedal. Handpieces and cables, indifferent plates, and cables for the Sensimatic have 1-year warranties. Electrodes for the Sensimatic are not covered under the warranty.The 2-Year power unit warranty for Parkell scalers covers the unit themselves. Scaler handpieces, foot pedals, external cables, and power transformers for Parkell scalers have 1-year warranties. Batteries, water filters, hand piece sheaths, and fluid bottles for any Parkell product are not covered under the stated
Parkell® scalers which are claimed to be defective based on improper performance with non-Parkell® inserts, and found by us to function properly with Parkell® inserts, will not be repaired, replaced, or considered for return, exchange, replacement or credit/refund; such devices will be returned to the customer at the customer’s cost and the customers shall be responsible for Parkell’s costs associated with inspecting the device.
THE WARRANTIES DESCRIBED ABOVE ARE IN LIEU OF ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR PURPOSE OR OTHER WARRANTIES, EXPRESSED OR IMPLIED. Parkell does not accept liability for any loss or damage, direct, consequential or otherwise, arising out of the use of or the inability to use any of our products. Before using any product, the user shall determine the suitability of the product for its intended use and the user assumes all the risk and liability whatsoever in connection with such use.
All products are to be sold by the customer in the original manufacturer’s packaging.
Parkell’s Quality System
Parkell’s Quality System is certified to ISO 13485.
Regulated requirements for medical devices
Distributors are required to adopt procedures for the medical devices supplied by Parkell Europe AB
addressing the following topics:
– Ensure traceability to the end user.
– Report any device incident without delay to Parkell Europe AB.
– Comply with storage, transportation conditions and expiration dates indicated on the product.
Sanction Policy
The Buyer shall comply with all applicable sanctions laws including always EU sanctions (Sanctions
Laws). The Buyer shall not export or otherwise transfer Seller’s products to a country or to a person
or entity in breach of Sanction Laws. The Buyer commits to not selling the products to third parties
whom he has reason to assume will disregard Sanction Laws. Upon request, the Buyer must provide
all required information about the end-use and end-user of the products. The Buyer shall be liable for
any damage and loss sustained by the Seller as a result of the Buyer’s non-compliance with this
clause. If the Buyer acts in breach of this clause or otherwise fails to comply with Sanctions Laws, the
Seller is entitled to immediately withdraw from the contract entirely or from that part that has not
yet been fulfilled, without the Buyer having the right to raise any claim of whatsoever nature against
the Seller, who may claim losses as mentioned above.
Shipment of hazardous and heat-sensitive materials
The US Department of Transportation (DOT) and the International Air Transport Association (IATA) have
classified certain dental materials as hazardous (flammable, corrosive, etc.). A stock number that begins with
the letter “H” identifies a product that is classified as hazardous in this price list. A carrier’s surcharge might
be added to all packages containing these materials.
The places for fulfilment and jurisdiction for delivery and payment is Upplands Väsby, Sweden, in all cases
and for all purposes. With the exception of ”Reservation of title” mentioned above, Swedish law shall govern all matters.
